1. ELIGIBILITY: The Simple Essentials™ Treats "Barking Bags" Game (the "Game") begins 11/01/10 and ends 12/31/10 ("Game Period"). The Game is open only to legal residents of the 50 United States and D.C., eighteen (18) years of age or older. Employees of Hill's Pet Nutrition, Inc. ("Sponsor"), its parent company, subsidiaries, divisions, affiliates, suppliers, brokers, printers, distributors and advertising, promotional and judging agencies, and any other entities affiliated with the administration of the Game and the immediate family members of each such person, and persons living in the same household as such person (whether related or not) are not eligible. Eligibility may be verified at any time. The Game is subject to all applicable federal, state and local laws and regulations. Void where prohibited.

2. HOW TO PLAY: With Purchase: Look for specially marked bags of Hill's® Science Diet® Simple Essentials™ Treats in retail stores, available until 12/31/10, while supplies last If there is a "barking" card ("Game Card") inside your bag (open the card carefully to hear it bark), call the toll-free telephone number on the card and follow the instructions to find out what prize you can claim. Each barking card will have a unique prize code that you will need when you call. Non-winning bags will not contain any card at all. Without Purchase: For a free chance to win, mail a hand-written, self-addressed, stamped envelope (VT residents may omit return stamp) to: "Simple Essentials™ Treats Barking Bags Game", P.O. Box 1239, Maryland Heights, MO 63043. Requests must be postmarked by 12/31/10, and received by 1/7/11, and will be honored while supplies last. Each mail-in request must be submitted in a separate, hand-addressed, stamped envelope. No responsibility is assumed for lost, late, misdirected, damaged, illegible, incomplete, incorrect or postage-due mail-in requests, and such requests will be void. No photocopies, mechanical reproductions or mass requests will be accepted. All submissions become the property of the Sponsor and will not be returned or acknowledged.

3. PRIZES; ODDS: Grand Prize (1): A shopping spree trip to New York City for two (2) persons. Prize consists of roundtrip coach air transportation for two between major airport nearest winners home and New York City; four (4) nights accommodations (double occupancy) at the Waldorf Astoria Hotel (standard room), some meals (in Sponsor's discretion), plus an American Express gift card with $5,000 to spend at the winner's discretion. Winner and travel guest must travel on the same itinerary, booked through Sponsor. If winner lives in vicinity of New York City, ground transportation may be substituted for air. Trip must be completed by 7/31/2011. Winner is responsible for all expenses of trip not expressly listed above. Major credit card is required upon hotel check-in for any incidental charges. Approximate Retail Value (ARV) of Grand Prize: Maximum of $10,000; actual value may vary depending on departure city and dates of travel. All travel and accommodations are subject to availability. Certain blackout dates may apply. Odds of winning 1: 180,000. First Prizes (2,281): A $50 PETSMART gift card. ARV $50. Odds of winning 1:78. Prizes are not redeemable for cash and are not transferable by winners. Sponsor reserves the right to substitute any prize for a prize of equal or greater value at Sponsor's sole discretion if the advertised prize becomes unavailable. Winner is responsible for all taxes due as a result of receipt of prize.

4. PRIZE CLAIMS: If you receive a Game card with a winning message, follow the instructions to call the toll-free telephone number and give the unique code from you Game card to find out which prize you win. Important: You must call by 5:00p.m. ET on 01/21/11. After that time, codes will be void and no longer be valid for prize redemption. Each code may only be submitted one (1) time, after which the code becomes void. Any attempt at repeated submission constitutes fraud and may result in prosecution, as well as disqualification. Each potential prize winner will be required to give sufficient information (name, address, etc.) to allow for delivery of the prize, and may also be required to sign and return an affidavit of eligibility publicity, and liability release Grand Prize winner's travel companion must also sign a liability release; if any travel companion is a minor, documents must be signed by parent or legal guardian who must also accompany the companion on the trip. Failure to comply when requested may result in disqualification. Any unclaimed or forfeited prize will not be awarded; all properly claimed prizes will be awarded. Any prize claim that results from error of any kind will be void. Allow 6-8 weeks after validation for receipt or arrangement for receipt of prize.

5. GENERAL CONDITIONS: All Game materials and prize claims are subject to validation by a judging organization. By participating you agree to be bound by these Official Rules and all decisions of the judging organization, which are final and binding. Game cards or other materials that have been tampered with or altered, reproduced, copied, or that contain any error are void. Failure to comply with these Official Rules may result in disqualification. No responsibility is assumed for: (i) lost, late, misdirected, damaged, garbled or illegible Game cards, prize claims, mail, or other communications; or (ii) error, omission, interruption, deletion, defect, delay in operations or transmission, theft or destruction or unauthorized access to or alterations of Game materials/prize claims, or for technical, network, telephone equipment, electronic, computer, hardware or software malfunctions of any kind, or inaccurate transmission of or failure to receive prize claims or other communications by Sponsor.

In no event will prizes be awarded in excess of the number of prizes listed in Section 3 of these Official Rules. In the event that production, seeding, printing or other error, or any other reason, causes more than the stated number of prizes set forth in Section 3 of these Official Rules to be available and/or claimed in any prize category, Sponsor reserves the right to award only the stated number of prizes by a random drawing among all legitimate, un-awarded, eligible prize claims. Game cards and unique codes are void if not obtained through authorized, legitimate channels, or if any part is defective, altered, duplicated, photocopied, forged, counterfeited, mutilated or tampered with in any way, or if they contain errors, or do not contain proper security devices as inserted by Sponsor. Sole liability for any defective Game card or unique code is limited to a replacement Game card or unique code, while supplies last. Any prize or portion thereof not accepted by prize winner will be forfeited.

Sponsor reserves the right to suspend, modify or terminate the Game for any reason or if Sponsor believes, in its sole discretion, that malfunction, error, disruption or other damage is impairing or will impair the administration, security, fairness, integrity or proper play of the Game. In such event, Sponsor reserves the right to award only those prizes for which winners have already submitted a valid winning prize claim to Sponsor. To the extent permitted by law, prize winners may also be required to grant to Sponsor, in writing, the unconditional, irrevocable worldwide right to use such winner's name, address, likeness, voice, statement in whole or in part and in edited, modified or re-taped version in any media including without limitation radio and/or internet and/or television broadcasts, for public relations, advertising and/or promotional purposes as may be determined by Sponsor, without additional compensation and without review, notice or approval.

6. RELEASE OF LIABILITY: By participating, you agree to (a) release Sponsor, its parent company, subsidiaries, divisions, affiliates, suppliers, brokers, printers, distributors and advertising, promotional or judging agencies, and any other entities affiliated with the administration of the Game ("Released Entities"), from and against any and all liability, claims or actions of any kind whatsoever for injuries, damages, or losses to persons or property which may be sustained as a result of the Game, participation in the Game, or the acceptance and use of any prize, and (b) you agree that the Released Entities are not responsible for any warranty, representation, or guarantee, expressed or implied, in fact or in law, relating to the promotion and/or the awarding of any prize other than as expressly set forth in these Official Rules. Notwithstanding the foregoing, in the event that the preceding release is determined by a court of competent jurisdiction to be invalid or void for any reason, you agree that, by participating, (i) any and all disputes, claims, and causes of action arising out of or in connection with the Game, or any prizes awarded, shall be resolved individually without resort to any form of class action; (ii) any claims, judgments and awards shall be limited to actual out-of-pocket costs incurred, including costs associated with entering the Game, but in no event attorney's fees; and (iii) under no circumstances will any entrant be permitted to obtain any award for, and entrant hereby waives all rights to claim, punitive, incidental or consequential damages and any and all rights to have damages multiplied or otherwise increased and any other damages, other than damages for actual out-of-pocket expenses.
